About the role
The Legal & Contracts Manager manages CloudData.Center's contract lifecycle — MSAs, SOWs, NDAs, partner agreements, and employment contracts — and ensures the company's legal and regulatory posture is sound as it scales across multiple jurisdictions.
What you will do
- Draft, review, and negotiate MSAs, SOWs, NDAs, and partner agreements for all CloudData.Center engagements
- Manage the contract lifecycle: intake, redline, signature, filing, and renewal tracking
- Advise on risk allocation, liability caps, IP ownership, and indemnification in client contracts
- Coordinate with outside counsel on complex negotiations, litigation, and M&A matters
- Ensure compliance with employment law, data privacy (GDPR, CCPA), and export controls across jurisdictions
- Manage corporate entity governance: board minutes, filings, and regulatory compliance
- Develop standard contract templates and negotiation playbooks
What we need
- JD degree with 5+ years of experience in technology, infrastructure, or professional services law
- Experience with commercial contract negotiation in a B2B technology services context
- Working knowledge of data privacy regulations: GDPR, CCPA
- Ability to advise non-legal stakeholders on contractual risk and commercial terms
Nice to have
- Experience with government contracts (FAR/DFARS) for US federal engagements
- International contract experience: India, Middle East, or European jurisdictions
